FleetLinq Terms of Service

1. Acceptance of Terms

By accessing or using the FleetLinq platform (the "Service"), provided by FleetLinq ("we," "us," or "our"), you ("User," "Customer," or "you") agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and FleetLinq. If you do not agree to these Terms, you must immediately cease all use of the Service.


2. Eligibility and Account Security

2.1 Eligibility
You must be at least 18 years of age and possess the legal authority to enter into a binding agreement to use this Service. By using the Service, you represent and warrant that you meet these requirements.

2.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. FleetLinq shall not be liable for any loss or damage arising from your failure to comply with this security obligation.


3. Description of Service and Scope

3.1 Software Provider Status
FleetLinq is a Software-as-a-Service (SaaS) provider for the car rental industry. We provide tools for inventory management, booking coordination, and analytics.

3.2 No Liability for Rental Transactions
IMPORTANT: FleetLinq is not a party to any rental agreement between a Company (the rental agency) and its Customers. We do not own, operate, or insure any vehicles. The Company is solely responsible for the safety, roadworthiness, and regulatory compliance of its fleet. FleetLinq disclaims all liability for the condition, legality, or availability of any vehicle or rental transaction.


4. Subscriptions, Fees, and Billing

4.1 Subscription Tiers
The Service is offered in various tiers (e.g., Accelerator, Professional, Elite) with differing feature sets and usage limits. Current pricing and limits are available on the Service interface and are incorporated herein by reference.

4.2 Payment Processing
All payments are processed via third-party payment providers (e.g., Paystack). By subscribing, you agree to the terms and conditions of the respective payment processor. Fees are non-refundable except as required by law.


5. Downgrades, Data Retention, and Hard Lock Policy

5.1 Grace Period
If you downgrade your subscription to a lower tier (voluntarily or due to non-payment), you will be granted a seven (7) day grace period to manage, archive, or remove data that exceeds the limits of your new plan.

5.2 Hard Lock Mechanism
After the 7-day grace period, a "Hard Lock" will be applied to your account. FleetLinq will completely restrict and hide access to any data (including vehicle records) that exceeds your current plan's limits. This restricted data will remain inaccessible until:

  1. The account is upgraded to a tier supporting the data volume; and
  2. Any applicable reactivation surcharges are settled.

5.3 Reactivation Surcharge
Re-upgrading an account after a Hard Lock has been initiated may incur a reactivation surcharge at our sole discretion. This fee covers the administrative and synchronization costs of restoring restricted data access.


6. Intellectual Property

6.1 Ownership
The Service, including its software code, design systems, algorithms, and brand elements, is the exclusive property of FleetLinq and its licensors. These Terms do not grant you any ownership rights in the Service.

6.2 User Content License
You retain ownership of the data you upload to the Service ("User Content"). However, you grant FleetLinq a worldwide, non-exclusive, royalty-free license to host, process, and display your User Content solely for the purpose of providing and improving the Service.


7. Prohibited Conduct

You agree not to:

  • Use the Service for any unlawful or fraudulent purpose.
  • Attempt to circumvent any security measure or data isolation (multi-tenancy) protocols.
  • Engage in automated data scraping or reverse-engineering of the Service.
  • Impersonate any person or entity or misrepresent your affiliation with a Company.

8. Disclaimers and Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. FLEETLINQ DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.


9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLEETLINQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF REVENUE, PROFITS, OR DATA. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.


10. Indemnification

You agree to indemnify and hold FleetLinq harmless from and against any claims, damages, or losses (including legal fees) arising out of your use of the Service, your violation of these Terms, or your infringement of any third-party rights.


11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Ghana, without regard to its conflict of law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Ghana.


12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service dashboard. Your continued use of the Service after such changes constitutes acceptance of the new Terms.
